These Terms of Service ("Agreement") constitute a legally binding contract made between you, whether personally or on behalf of an entity ("Client", "you"), and Individual Entrepreneur Ararat Akopian - Kargona IT ("Kargona IT", "we", "us", or "our"), concerning your access to and use of the kargona-it.com website as well as any web development, application development, and IT infrastructure services we provide. By accessing our Site or engaging our services, you agree to be bound by the terms of this Agreement.

1. Scope of Services

We provide custom software development, web architecture design, and infrastructure solutions. The specific details, deliverables, timelines, and costs of any project are determined in a separate Statement of Work (SOW), commercial proposal, or invoice issued to the Client. In the event of any conflict between this Agreement and a specific SOW, the terms of the SOW shall prevail.

2. Client Responsibilities

To ensure successful and timely project delivery, the Client agrees to promptly provide access to necessary resources, including but not limited to server credentials, APIs, brand assets, and feedback. Delays in providing necessary materials by the Client may result in a proportionate extension of the project delivery deadlines. We shall not be held liable for delays caused by the Client's prolonged lack of communication.

3. Acceptance of Work and Refund Policy

Payment terms are specified in the individual invoice or SOW. Due to the custom nature of software development, all advance payments and payments for completed milestones are strictly non-refundable.

Acceptance: Upon completion of a milestone or the entire project, we submit the deliverables to the Client for review. If the Client does not provide a reasoned written rejection or a list of revisions within 5 (five) business days, the work is deemed automatically accepted and becomes subject to payment.
Cancellation: If a project is canceled by the Client prior to its completion, the Client is obligated to pay for all hours actually worked and expenses incurred by us up to the date of cancellation.

4. Intellectual Property and Marketing

All intellectual property rights to the custom source code, design, and database architecture created specifically for the Client shall transfer to the Client only upon our receipt of 100% full payment for the project. Until full payment is made, Kargona IT retains full ownership rights to all project deliverables.

Portfolio: The Client grants Kargona IT a non-exclusive right to use the Client's name, logo, and a brief description of the completed project in our portfolio and marketing materials, unless otherwise stipulated by a separate Non-Disclosure Agreement (NDA).

5. Warranties and Third-Party Services

We warrant that upon project delivery, the software will function in accordance with the agreed SOW. However, we do not warrant that the software will be entirely error-free or completely immune to third-party cyber threats.

Third-Party Integrations: Our systems may integrate with third-party services (e.g., payment gateways, AWS hosting, Vercel, social media APIs). We assume no liability for downtimes, data breaches, or policy changes associated with these third-party platforms. Ongoing server maintenance post-delivery requires a separate maintenance agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Kargona IT shall not be liable for any indirect, incidental, special, or punitive damages, including loss of profits, data, or business opportunities arising from the use of our software or services. Under no circumstances shall our aggregate liability exceed the total amount paid by you to us for the specific project giving rise to the claim.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Georgia. Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations. If an amicable resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the competent courts of Georgia (Tbilisi).
